IN NO EVENT WILL COASTY RESOURCE (CANADA) BE LIABLE TO ANY PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES FOR USE OF THIS SITE OR ANY OTHER LINKED WEBSITE, INCLUDING, WITHOUT LIMITATION, LOST PROFITS OR REVENUES, COSTS OF REPLACEMENT, BUSINESS INTERRUPTIONS, LOSS OF DATA OR DAMAGES RESULTING FROM USE OF OR RELIANCE ON THE INFORMATION PRESENT, EVEN IF COASTY RESOURCE (CANADA) IS EXPRESSLY ADVISED ABOUT THE POSSIBILITY OF SUCH DAMAGES.

Title to and ownership of the documentation, and any improved, updated, modified or additional parts thereof, and all copyright, patent, trade secret, trademark and other intellectual property rights embodied in the Products, shall at all times remain the property of COASTY RESOURCE (CANADA) or COASTY RESOURCE (CANADA) licensors.

 

Conditions of Sale

  1. Limited Warranty.

COASTY RESOURCE (CANADA) warrants its product(s) to be free from defects in materials and workmanship for a period of one year from the date of registered purchase. Any unit which is found to be defective will, at the discretion of COASTY RESOURCE (CANADA), be repaired or replaced.

COASTY RESOURCE (CANADA) will not be responsible for the repair or replacement of any unit damaged by user modification, negligence, abuse, improper installation, or mishandling.

COASTY RESOURCE (CANADA) reserves the right to alter any feature or specification at any time.

  1. Limitation of Liability.

The product must NOT be used in applications where failure of the product could lead to physical harm or loss of human life. Buyer is responsible to conduct their own tests to meet the safety regulation of their respective industry.

  1. Extended Warranty.

Extended 2-year warranty service is available to purchase on new products at time of order entry and up to ninety days thereafter. The extended warranty protects you from unbudgeted service expenses and provide additional 2 years of protection at a fraction of the price of a repair.

  1. Return Policy.

Defective Product Return:

A Buyer may return a defective product to COASTY RESOURCE (CANADA) for repair or replacement, at COASTY RESOURCE (CANADA) option, in the event COASTY RESOURCE (CANADA) determines that the product is defective. The defective product must be returned to COASTY RESOURCE (CANADA) within the warranty period. The Buyer shall be responsible for all shipping costs. Repaired or replaced products are warranted for the balance of the original warranty period, or at least 90 days.

Non-defective Product Return:

Products that are not defective may be returned to COASTY RESOURCE (CANADA) within 30 days from the date of shipment. All non-defective product returns are subject to a 20% restocking fee. If the product is unsatisfactory for the application for which it was purchased, COASTY RESOURCE (CANADA) shall, at its option, either refund the purchase price paid by the Buyer or replace the product with one that is satisfactory for the application. The Buyer shall be responsible for all shipping costs and restocking fee determined by COASTY RESOURCE (CANADA).

Method of Return:

Prior to returning the product, completely fill out the RMA Application Form, send it to COASTY RESOURCE (CANADA) or contact COASTY RESOURCE (CANADA) directly for a Return Material Authorization number. All products returned to COASTY RESOURCE (CANADA) must be securely packaged in the original shipping materials and reach COASTY RESOURCE (CANADA) without damage and shipped in accordance with Applicable laws, rules, and regulations. The products must contain all software and accessories that were shipped to the Buyer in connection with the product.

Software End User License Agreement

  1. Pricing.

Prices for orders are in US Dollars.

Unless otherwise agreed to in writing by COASTY RESOURCE (CANADA), all prices quoted are exclusive of transportation and insurance costs, duties, and all taxes including, but not limited to, federal, state, provincial and local sales, excise, goods and services and value added taxes and any other taxes. Buyer agrees to pay these taxes unless Buyer has provided COASTY RESOURCE (CANADA) with an exemption resale certificate in the appropriate form for the jurisdiction of COASTY RESOURCE (CANADA)'s place of business and any jurisdiction to which products are to be directly shipped hereunder, or unless the sale is otherwise exempt from these taxes. Buyer agrees to indemnify and hold COASTY RESOURCE (CANADA) harmless for any liability for tax in connection with the sale, as well as the collection or withholding thereof, including penalties and interest thereon. When applicable, transportation and taxes shall appear as separate items on COASTY RESOURCE (CANADA)'s invoice.

  1. Payment Terms.

All payments shall be made in immediately available net thirty (30) days from the date of invoice for qualified accounts, without set-off, deduction or withholding of any kind, unless otherwise stated by COASTY RESOURCE (CANADA) in writing and may be paid by cheque, wire transfer or major credit card. All open account invoicing must be pre-approved. Any amounts not paid when due will accrue interest at the rate of 1.5% per month, or the maximum amount allowed by law, if lower. In the event that an payment is more than thirty (30) days late, COASTY RESOURCE (CANADA) shall have the right to suspend doing business with Buyer until all past due balances are made current. Buyer shall pay for all costs (including reasonable fees) incurred by COASTY RESOURCE (CANADA) in connection with the collection of late payments. Each accepted purchase order is a separate, independent transaction, and Buyer has no right of set-off against other purchase orders or other transactions with COASTY RESOURCE (CANADA). Buyer hereby grants COASTY RESOURCE (CANADA) a security interest in the Products in the amount of the unpaid balance of the purchase price until paid in full. COASTY RESOURCE (CANADA) may file a financing statement for such security interest and Buyer shall sign any such statements or other documentation necessary to perfect COASTY RESOURCE (CANADA) security interest.

  1. Shipment and Packing.

All Product prices exclude costs of shipping and handling and insurance, in accordance with delivery terms designated by COASTY RESOURCE (CANADA). Unless otherwise agreed in writing, such costs will be paid by the Buyer and will appear as a separate item on COASTY RESOURCE (CANADA) invoice. COASTY RESOURCE (CANADA) shall ship in accordance with COASTY RESOURCE (CANADA) standard practices. Buyer may specify different shipping instructions, subject to agreement by COASTY RESOURCE (CANADA). Unless otherwise agreed to in writing by COASTY RESOURCE (CANADA), all products shall be packaged, if appropriate, for shipment and storage in accordance with standard commercial practices - All packing shall conform to carrier requirements.

  1. Export/Import.

All Products sold by COASTY RESOURCE (CANADA) and other related technology and documentation are subject to export control laws, regulations and orders of Canada, USA, the European Union, and/or other countries ("Export Laws"). Customer shall comply with such Export Laws and obtain any license, permit, or authorization required to transfer, sell, export, re-export, or import the Products and related technology and documentation.
